Our client, a leading real estate investor and manager in Asia with an AUM of USD 30 Billion, is looking for an Assistant Manager, Corporate Governance Secretariat.
About the Role:
As an Assistant Manager, Corporate Governance Secretariat, you will play a crucial role in providing comprehensive support for the Board and ensuring robust corporate governance across the Group. You will be responsible for implementing and maintaining company secretarial processes and systems to ensure sound organizational management and full compliance with statutory and regulatory requirements under the Companies Act, ACRA, and MAS regulations.
Key Responsibilities:
- Perform the full spectrum of company secretarial duties, corporate governance, and compliance functions for both the listed entity and its private subsidiaries.
- Prepare annual/interim reports, announcements, and circulars.
- Organize and coordinate Board meetings, Board Committee meetings, and shareholders' meetings.
- Handle corporate transactions and ad-hoc projects as required.
- Monitor compliance with the Companies Act, ACRA, MAS regulations, and other applicable laws, and implement necessary compliance procedures.
- Maintain and update all company secretarial records, registers, and statutory filings.
- Liaise effectively with professional advisors and various regulatory bodies.
Requirements:
- Degree holder in a relevant discipline and CSIS/CGI qualification.
- At least 8 years of company secretarial experience, gained from sizable professional firms or listed companies. Experience within a listed environment is a distinct advantage.
- Well-versed in the Companies Act, ACRA, and MAS regulations.
- Good interpersonal and communication skills.
- Excellent command of written and spoken English, and preferably a good written and spoken second language.
- Mature, well-organized, self-motivated, detail-minded, and able to work independently.
