Reapra is looking for experienced legal counsels who are passionate about providing and developing Next Gen legal and governance support for early-stage investments. The incumbent will be instrumental in supporting the development and execution of our group's legal and compliance framework and will be expected to provide investment, commercial, corporate, and compliance advice to Reapra and its Group regarding our portfolio companies, where applicable.
As part of the screening process, applicants will go through a discernment process called Intensive Foundation Design (IFD) where applicants will build a model of self-understanding as a personal blueprint to enhance their learning and work. Through this discernment process, applicants will also get to know Reapra’s venture building methodology, called Mastery by Co-Creating with Society (MCCwS) to assess overlaps in their career direction with the Company’s mission and mission.

Requirements
Duties & Responsibilities:
- Support and manage the pre-incorporation to post-incorporation, as well as striking off or exit processes of portfolio companies.
- Provide legal support for investment transactions across SEA, including but not limited to, drafting and negotiating Term Sheets, Subscription Agreements, Convertible Loan Agreements, and Shareholder's Agreements, in cooperation with the Investments team and foreign counsels where required.
- Provide high-level commercial advice for commercial transactions and engagements of portfolio companies.
- Provide legal support to the various teams in Reapra on commercial matters, including but not limited to, drafting and negotiating of NDAs, MOUs, Partnership Agreements, Services Agreements, and Licensing Agreements, for the group of entities in Singapore as well as SEA.
- Provide compliance support to the Finance team to assist with their audit, including identifying and rectifying any non-compliance issues.
- Support the development and implementation of internal compliance policies for the group of entities, to ensure that Reapra maintains good corporate governance.
- Manage internal corporate secretarial matters, and draft resolutions and ancillary documents, as well as liaise with our external service provider for regulatory requirements of the group of entities in Singapore.
- Any other legal matters as required by Reapra.

- Relevant Skills and Experience:
- PQE - 3-8 years. Bachelor of Laws from a recognised university is essential. Called to the bar in a Common Law jurisdiction.
- Experience in managing corporate and commercial legal and corporate secretarial matters is required. Experience in the startup environment is preferred but not essential.
- Strong knowledge of law and legal practices in Singapore. Experience working in ASEAN markets will be well regarded.
- M&A and/or investment experience in either a top-tier law firm or in an in-house capacity is beneficial.
- Proficient in drafting, negotiating and managing various investment transactions, with knowledge on startup funding equity and debt structures for early to growth stage companies, and investor protections.
