Job Responsibilities :
- Draft, review and negotiate technology contracts, including software licenses, cloud services, SaaS, infrastructure agreements, NDAs, maintenance and support contracts and consultancy arrangements.
- Providing legal support and advice on outsourcing arrangements in compliance with applicable legal and regulatory requirements (e.g. MAS Guidelines on Outsourcing, protection of customer information under Banking Act, PDPA).
- Provide legal support on issues arising from procurement, vendor onboarding processes and cybersecurity incidents, ensuring appropriate risk allocation, service levels, data privacy, intellectual property rights and termination/exit planning.
- Ensure that third party/vendor contracts are aligned with the Bank’s risk, compliance and data protection frameworks.
- Collaborate with internal stakeholders across technology, procurement, operations, risk and compliance teams to support digital initiatives, vendor management programs.
- Advise on emerging technology risks (e.g. AI, cybersecurity, cloud computing, data/information security).
- Drafting, updating, improving and maintaining agreements, standard templates, framework, guidance notes and other legal documents for the Bank and to conduct internal trainings.
- Advising the Bank on laws and regulations affecting the Bank and coordinating with Compliance and other internal stakeholders on implementation.
- Manage disputes or escalations involving vendors/service providers including enforcement of contractual rights.
- Co-ordinating legal matters with other offices under APAC where necessary. Assisting Head of Legal in managing, coordinating and rolling-out initiatives involving legal teams across Asia Pacific Division.
- Projects, initiatives and matters as may be assigned by Head of Legal from time to time.
Qualifications/Requirements:
- Good Law degree from a recognized university and admitted to practice in Singapore.
- Qualified lawyer with at least 9-12 years of post-qualification experience in a law firm and/or in-house legal dept (preferably in banks with experience on digital transformation projects) specialising in technology/outsourcing/vendor contracts.
- Strong knowledge and experience in outsourcing and data privacy regulations (e.g. PDPA/GDPR).
- Proven ability to negotiate IT, tech and services procurement contracts on behalf of financial institutions and provide strategic legal advice and practical solutions while balancing risks.
- Excellent communication, analytical, negotiation and interpersonal skills.
- Able to work independently and exercise sound legal judgment.
- Confident and meticulous and able to work in fast-paced environment.
