We are seeking a motivated and detail-oriented Corporate Secretarial Senior to join our dynamic firm. Your Role and Impact:
As a key member of our corporate secretarial team, you will be at the heart of our clients' success. You will:
- Prepare and file essential statutory documents with ACRA, including annual returns, board resolutions, and share transfers.
- Meticulously maintain and update corporate records, from statutory registers to minute books.
- Handle the incorporation of new companies, statutory bizfile requirements, and advise on other ad-hoc secretarial matters.
- Assist in drafting precise directors' resolutions, detailed meeting minutes, and other critical corporate documentation.
- Support Listed Company Clients (Preferred):
- Assist in drafting and releasing announcements via SGXNET.
- Assist in preparing materials for Board and Board Committee meetings (Audit, Remuneration, Nominating).
- Support the preparation of Annual Reports, circulars, and documents for Annual General Meetings (AGMs) and General Meetings (GMs).
- Liaise confidently with clients, regulatory bodies, auditors, and other stakeholders, building strong professional relationships.
What We're Looking For:
- Experience: You have at least 3 to 4 years of relevant experience in a corporate secretarial role. (Candidates with strong academic qualifications but less experience may be considered).
- Listed Company Exposure (Highly Preferred):
- Hands-on experience supporting SGX-listed companies is a significant advantage.
- Familiarity with the Companies Act, SGX-ST Listing Rules and the Code of Corporate Governance.
- Experience with SGXNET announcements and AGM/GM preparations is ideal.
- Knowledge: You possess a strong understanding of the Singapore Companies Act, Listing Rules and ACRA filing requirements.
- Education: You are a qualified chartered secretary or possess a bachelor’s degree in business or finance.
- Skills: You are proficient in the Microsoft Office Suite (Word, Excel, PowerPoint) and have an exceptional command of written and spoken English.
- Attitude: You have a keen eye for detail, outstanding organizational skills, and a proactive approach to meeting deadlines and serving clients.
